1. Introduction & Acceptance of Terms

1.1 Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User", "Business", "Tourist", or "You") and MakeMe Top ("MBP", "Platform", "We", "Us", or "Our"), governing your access to and use of the MakeMe Top platform, website, mobile applications, and related services.

1.2 Platform Description

MakeMe Top is a B2B SaaS platform providing verified business listing services (MBP — MakeMeTop Business Profile) for travel agencies, resorts, hotels, houseboats, and tour operators in Jammu & Kashmir, India. The platform also serves as a directory for tourists to discover and contact Kashmir travel businesses.

1.3 Who May Use Our Services

• Business Users: Travel agencies, resorts, hotels, houseboats, tour operators, and related tourism businesses based in Jammu & Kashmir
• Tourist Users: Travelers seeking to discover and book Kashmir travel services
• Age Requirement: You must be at least 18 years old to use MakeMe Top
• Legal Capacity: You must have the legal authority to enter into binding contracts

1.4 Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to makemetop.in/terms.html. Continued use of the platform after changes constitutes acceptance of modified Terms. Material changes will be notified via email to registered users.

2. User Accounts & Registration

2.1 Account Creation

To create a business listing or use certain features, you must register for an account by providing:

• Valid email address
• Secure password
• Business information (for business users)
• Contact details

2.2 Account Security

You are responsible for:

• Maintaining confidentiality of your password
• All activities under your account
• Notifying us immediately of unauthorized access
• Logging out after each session on shared devices

2.3 Account Accuracy

You agree to:

• Provide accurate, current, and complete information
• Update information promptly when it changes
• Not impersonate any person or entity
• Not create accounts using automated means
• Not share your account with others

2.4 Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms
• Engage in fraudulent activity
• Provide false information
• Remain inactive for 12+ months
• Are used for prohibited purposes

3. Business Listings (MBP Services)

3.1 Listing Creation

Business users may create MBP listings by:

1. Registering an account on makemetop.in
2. Completing the business profile form
3. Uploading required photos and documents
4. Selecting a subscription plan
5. Completing payment via Razorpay
6. Awaiting verification (24-48 hours)

3.2 Listing Requirements

All business listings must:

• Be for legitimate Kashmir travel businesses
• Provide accurate business information
• Upload authentic, owned photos
• Include valid contact details
• Comply with all applicable laws
• Not contain prohibited content (see Section 6)

3.3 Verification Process

MakeMe Top verifies all business listings before approval by:

• Confirming business exists and operates in J&K
• Verifying contact information
• Checking for duplicate listings
• Reviewing uploaded content for compliance
• Validating business registration (when applicable)

Verification typically completes within 24-48 hours. We reserve the right to reject listings that fail verification or violate Terms.

3.4 Listing Ownership

• One business = one listing (no duplicates)
• Only business owners or authorized representatives may create listings
• Claiming another business's listing is strictly prohibited
• Ownership disputes resolved via documented proof of ownership

3.5 Listing Content

You retain ownership of your uploaded content but grant MakeMe Top a worldwide, non-exclusive, royalty-free license to:

• Display your listing on makemetop.in
• Index your listing in search engines (Google, Bing)
• Feature your listing in promotional materials
• Share listing data with verified partners

You represent and warrant that:

• You own or have rights to all uploaded content
• Content does not violate third-party intellectual property
• Content is accurate and not misleading
• Photos are authentic and not stock images (unless disclosed)

4. Pricing, Payment & Subscriptions

4.1 Subscription Plans

4.2 Payment Processing

• Payment Gateway: All payments processed via Razorpay (secure, PCI-DSS compliant)
• Accepted Methods: Credit/debit cards, UPI, net banking, digital wallets
• Currency: Indian Rupees (INR) only
• Taxes: Prices include applicable GST (18%)
• Invoices: Auto-generated and emailed after payment

4.3 Subscription Renewal

• Monthly Plans: Auto-renew every 30 days unless cancelled
• Annual Plans: Auto-renew every 365 days unless cancelled
• Renewal Notice: Email reminder sent 7 days before renewal
• Failed Payments: 48-hour grace period; listing deactivated if not resolved

4.4 Cancellation & Refunds

Cancellation

• Cancel anytime from dashboard (Settings → Subscription → Cancel)
• Listing remains active until end of paid period
• No charges after cancellation (auto-renewal stops)
• Reactivation allowed anytime by renewing subscription

Refund Policy

Eligible for Refund:

• Duplicate Payment: Accidental double charge (full refund within 7 days)
• Technical Error: Payment processed but listing never activated (full refund)
• Rejection Before Activation: Business fails verification before listing goes live (full refund)

NOT Eligible for Refund:

• ❌ Changed mind after purchase
• ❌ Listing approved but not generating expected leads
• ❌ Dissatisfaction with platform features
• ❌ Business closed or relocated after payment
• ❌ Partial refunds for unused subscription time

Refund Process: Submit request to support@makemetop.in with payment proof. Approved refunds processed within 7-10 business days to original payment method.

4.5 Price Changes

• We may change pricing with 30 days notice
• Existing subscribers locked at current price until renewal
• New prices apply to new subscriptions and renewals after notice period

5. User Conduct & Responsibilities

5.1 Acceptable Use

You agree to use MakeMe Top only for lawful purposes and in compliance with these Terms. You agree NOT to:

• ❌ Upload false, misleading, or fraudulent business information
• ❌ Create duplicate listings for the same business
• ❌ Claim ownership of businesses you don't own
• ❌ Post fake reviews (for your business or competitors)
• ❌ Manipulate ratings or review system
• ❌ Scrape, copy, or download platform content without permission
• ❌ Use automated bots or scripts
• ❌ Reverse engineer or attempt to access source code
• ❌ Interfere with platform functionality or security
• ❌ Upload viruses, malware, or malicious code
• ❌ Harass, threaten, or abuse other users
• ❌ Violate intellectual property rights
• ❌ Use platform for spam or unsolicited marketing

5.2 Business User Responsibilities

Business users must:

• ✅ Respond to tourist inquiries within 24 hours
• ✅ Honor quoted prices and package details
• ✅ Maintain accurate contact information
• ✅ Update listing if services/pricing change
• ✅ Provide services as advertised
• ✅ Comply with Kashmir tourism regulations
• ✅ Maintain required business licenses/permits
• ✅ Respond professionally to reviews (positive or negative)

5.3 Tourist User Responsibilities

Tourist users must:

• ✅ Provide honest, accurate reviews
• ✅ Review only businesses you've actually used
• ✅ Be respectful in communication with businesses
• ✅ Report fake listings or suspicious activity
• ✅ Not post spam or irrelevant content

6. Prohibited Content

The following content is strictly prohibited on MakeMe Top:

6.1 Illegal Content

• Content violating Indian laws or J&K regulations
• Counterfeit goods or services
• Unlicensed tour operations
• Fraudulent business activities

6.2 Harmful Content

• Violence, threats, or harassment
• Hate speech or discriminatory content
• Sexually explicit material
• Content promoting dangerous activities

6.3 Misleading Content

• False business claims or credentials
• Fake photos (using competitor's images)
• Manipulated reviews or ratings
• Bait-and-switch pricing
• Fabricated certifications or awards

6.4 Intellectual Property Violations

• Copyrighted images without permission
• Trademarked logos not owned by business
• Plagiarized content from other websites
• Stock photos claimed as authentic business photos

Violation Consequences: Content removal, listing suspension, account termination, no refund, potential legal action.

7. Reviews & User-Generated Content

7.1 Review Guidelines

Reviews must be:

• ✅ Based on genuine personal experience
• ✅ Honest and accurate
• ✅ Respectful (no profanity or abuse)
• ✅ Relevant to the business reviewed
• ✅ Written by the actual customer (not paid reviews)

7.2 Prohibited Review Practices

• ❌ Fake reviews (for your business or competitors)
• ❌ Paid or incentivized reviews without disclosure
• ❌ Review bombing or coordinated negative reviews
• ❌ Competitor sabotage reviews
• ❌ Reviews unrelated to actual service experience

7.3 Review Moderation

• We reserve the right to remove reviews violating guidelines
• Businesses cannot delete negative (but legitimate) reviews
• Users can report suspicious reviews for investigation
• Repeat violators will be banned from reviewing

7.4 Business Response to Reviews

• Businesses may publicly respond to reviews
• Responses must be professional and non-threatening
• Personal attacks on reviewers are prohibited
• Offering compensation to remove negative reviews is prohibited

8. Intellectual Property Rights

8.1 Platform Ownership

MakeMe Top and all related trademarks, logos, designs, code, content, and functionality are owned by MakeMeTop and protected by Indian and international intellectual property laws.

You may NOT:

• ❌ Copy, modify, or distribute platform code
• ❌ Use MakeMe Top branding without written permission
• ❌ Create derivative platforms or clone services
• ❌ Remove or alter copyright notices

8.2 User Content License

By uploading content (photos, descriptions, reviews), you grant MakeMe Top a worldwide, non-exclusive, royalty-free, perpetual license to use, display, reproduce, and distribute such content.

8.3 Copyright Infringement

If you believe content on MakeMe Top infringes your copyright:

1. Email support@makemetop.in with proof of ownership
2. Provide URL of infringing content
3. We will investigate within 48 hours
4. Infringing content removed; uploader notified
5. Repeat infringers permanently banned

9. Data Privacy & Security

9.1 Privacy Policy

Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.2 Data Security

We implement industry-standard security measures:

• SSL/HTTPS encryption for data transmission
• Secure password hashing (bcrypt)
• Firebase Authentication security
• Regular security audits
• PCI-DSS compliant payment processing (Razorpay)

However, no internet transmission is 100% secure. You acknowledge the inherent security risks of online platforms.

9.3 Data Retention

• Active business listings: Data retained while subscription active
• Cancelled listings: Data deleted within 90 days
• Payment records: Retained 7 years (legal requirement)
• User accounts: Deleted upon request (unless legal obligations apply)

9.4 Third-Party Services

MakeMe Top uses third-party services:

• Firebase: Authentication, database, hosting
• Razorpay: Payment processing
• Google Analytics: Usage analytics
• Google Maps: Location services

Each has its own privacy policy and data handling practices.

10. Disclaimers & Limitations of Liability

10.1 Platform "AS IS"

10.2 Business Listing Disclaimer

MakeMe Top is a listing platform, not a travel agency or booking service:

• We do NOT provide travel services directly
• We do NOT guarantee business quality or performance
• We are NOT responsible for disputes between tourists and businesses
• We do NOT endorse any specific business
• Verification confirms business exists but does NOT guarantee quality

Tourist users acknowledge: Bookings and transactions occur directly between you and listed businesses, not through MakeMe Top.

10.3 No SEO Guarantees

While MBP listings are Google-indexed, we do NOT guarantee:

• ❌ Specific search ranking positions
• ❌ Minimum traffic or leads
• ❌ Revenue increase
• ❌ Google algorithm changes won't affect rankings

10.4 Limitation of Liability

We are NOT liable for:

• ❌ Indirect, incidental, or consequential damages
• ❌ Lost profits, revenue, or business opportunities
• ❌ Data loss (maintain your own backups)
• ❌ Unauthorized access to your account (if due to your negligence)
• ❌ Third-party actions (businesses, tourists, competitors)
• ❌ Force majeure events (natural disasters, war, government action)

10.5 Indemnification

You agree to indemnify and hold harmless MakeMe Top, its officers, employees, and affiliates from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your uploaded content
• Your interactions with other users
• Your violation of any law or third-party rights

11. Termination

11.1 Termination by User

You may terminate your account anytime by:

• Canceling subscription from dashboard
• Emailing support@makemetop.in
• Listing deactivated at end of paid period
• No refunds for early termination

11.2 Termination by MakeMe Top

We may suspend or terminate accounts immediately without notice for:

• Violation of these Terms
• Fraudulent activity or payment disputes
• Providing false information
• Abuse of platform or other users
• Legal or regulatory requirements
• Repeated customer complaints

11.3 Effect of Termination

• Listing removed from public view
• Account access revoked
• No refunds (except eligible cases per Section 4.4)
• Data deleted per retention policy (Section 9.3)
• Outstanding payments remain due

11.4 Survival

Sections 4 (Payment), 8 (IP Rights), 9 (Privacy), 10 (Liability), and 12 (Disputes) survive termination.

12. Dispute Resolution & Governing Law

12.1 Governing Law

These Terms are governed by the laws of India. The courts of Srinagar, Jammu & Kashmir shall have exclusive jurisdiction over any disputes.

12.2 Dispute Resolution Process

Step 1: Contact Us First

Email support@makemetop.in describing your concern. We commit to good-faith resolution within 15 business days.

Step 2: Mediation (Optional)

If unresolved, either party may request mediation before litigation.

Step 3: Arbitration (For Claims Over ₹50,000)

Disputes exceeding ₹50,000 shall be settled by binding arbitration in Srinagar per the Arbitration and Conciliation Act, 1996. Arbitrator's decision is final.

Step 4: Small Claims Court (For Claims Under ₹50,000)

Claims under ₹50,000 may be filed in small claims court in Srinagar.

12.3 Class Action Waiver

You agree to resolve disputes individually, not as part of class action lawsuits.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MakeMe Top.

13.2 Severability

If any provision is found unenforceable, the remainder stays in effect.

13.3 No Waiver

Failure to enforce any right does not waive that right.

13.4 Assignment

You may not transfer your account. We may assign our rights to successors.

13.5 Force Majeure

We're not liable for delays/failures due to circumstances beyond our control (natural disasters, war, pandemics, government actions, internet outages).
